The upgrades will include a reconstructed Auburn Street facade, at least 15 new retailers, increased floor area and extensive internal improvements.
Work on the four-stage project by the Centro Property Group is due to start next February, with completion by January 2006.
Centro management and project consultants unveiled the plan during meetings with Goulburn Mulwaree councillors and the Goulburn and District Chamber of Commerce on Wednesday.
Centro development manager Peter Tainsh told Chamber members his firm had assumed responsibility for the JF Meridian Trust's 50 per cent stake in the mall in November.
He said this had cleared the way for the refurbishments, approved by Goulburn City Council two years ago.
He was joined by project manager Adrian Timp, from Clifton Coney Group, architect Philip Bowen from Woodhead International, and mall manager Alan Olivo.
"We're very excited about this," Mr Tainsh said.
"It has taken four years to get to this stage and there has been a lot of work involved. The retailers and councillors are also excited about it."
The Meridian Trust and Centro have owned the mall for the past four years, however, Mr Tainsh said the redevelopment hit a snag when Meridian sold half its share to the James Fielding Group, who were not keen to proceed with the work.
